Terms of Use

These terms govern the use of BTU — a cloud-based business management system for air-conditioning installers and HVAC technicians. Please read them carefully before registering and using the service.

1. General and Acceptance of the Terms

1.1. The website btu.917.co.il and the system operated on it (together: "BTU" or "the Service") are a cloud software service (SaaS) for business management, intended for air-conditioning installers, service technicians and businesses in the air-conditioning field (hereinafter: "the User" or "the Account Owner").

1.2. Registering for the Service, logging into it or using it — including during the trial period — constitutes full acceptance of these Terms of Use and of the Privacy Policy published at btu.917.co.il/legal/privacy-en.html, which forms an integral part of these terms.

1.3. If you do not agree to these terms, in whole or in part — please refrain from registering for and using the Service.

1.4. The Service is intended for professional business use only, by a person who is at least 18 years of age and has the legal capacity to enter into this agreement. Anyone registering on behalf of a corporation or a business represents that they are authorized to bind that corporation or business.

2. The Nature of the Service

2.1. BTU provides the User with tools for managing the business: planning air-conditioning systems on an architectural plan, load and quantity calculations, price quotes, management of service calls, equipment files, periodic service contracts, team management, finances and documentation.

2.2. The Service is provided on an "As-Is" and "As-Available" basis. We work to maintain high availability and proper operation of the Service, but we do not undertake that the Service will operate continuously, without faults or without interruptions, and there may be updates, upgrades and planned downtime for maintenance purposes.

2.3. We may update, improve, add or remove capabilities and modules in the system from time to time, provided that the core of the Service for which payment is collected is reasonably preserved.

3. Trial Period

3.1. A new user is entitled to a trial period of 7 days free of charge, with no need to enter a payment method and without a credit card.

3.2. At the end of the trial period, continued use of the Service is conditional upon joining a paid subscription plan. If no subscription is taken out — the account will move to read-only mode as detailed in section 6 below, and the data that was entered will be preserved.

3.3. The trial period is granted once per business. We may prevent abuse of the trial period, including the repeated opening of accounts for the same business.

4. Plan, Price and Payment

4.1. The Service is provided in a single plan that includes all of the system's capabilities.

4.2. The full price of the plan is ILS 1,500 per month plus VAT as required by law. Early subscribers are offered an introductory price of ILS 380 per month plus VAT as required by law.

4.3. Introductory price lock: a user who joined at the introductory price will continue to pay that price for as long as their subscription is active and continuous. Discontinuing the subscription and renewing it thereafter may be subject to the price list in effect at the time of renewal.

4.4. Billing is a recurring monthly charge, carried out through the payment processor PayPlus. Credit card details are provided directly to the payment processor and are not stored on BTU's servers.

4.5. A lawful tax invoice/receipt will be issued for every charge. Prices on the website are denominated in new Israeli shekels and do not include VAT, unless expressly stated otherwise.

4.6. Failure of a charge (for example, due to an expired card) will entitle the User to a notice and a reasonable period in which to settle the payment; if the payment is not settled — the account will move to read-only mode as detailed in section 6.

5. Price Changes

5.1. We may update the price list for new subscribers at any time.

5.2. A price change applying to existing subscribers — except for the introductory price lock mechanism in section 4.3, which operates in the User's favor — will take effect only after prior notice of at least 30 days, and the User will have the right to cancel the subscription before the change takes effect.

6. Cancellation of the Subscription and Read-Only Mode

6.1. The User may cancel the subscription at any time, from within the system or by a written request to [email protected]. The cancellation will take effect at the end of the current billing period, and no further charges will be made thereafter.

6.2. When the cancellation takes effect, the account moves to read-only mode: the data that was entered — projects, customers, equipment files, documents and history — is not deleted and remains available for viewing and export, but new data cannot be entered and existing data cannot be edited.

6.3. Renewing the subscription restores the account to full activity, with all the data saved in it.

6.4. A user who wishes to have their data fully deleted may request this in accordance with the Privacy Policy; such deletion is irreversible.

7. Account, Access and Security

7.1. Access to the Service is performed using the User's Google account. The User is responsible for maintaining the security of their means of access and for any action performed in their account.

7.2. The Account Owner may add additional users (for example, technicians and employees) in accordance with the permissions they define, and the Account Owner is responsible toward BTU for the use those users make of the Service.

7.3. Any unauthorized use of the account, or any suspicion of a security breach, must be reported to us without delay.

8. User Responsibility for Content

8.1. The User is solely responsible for all content, data, documents and information that they enter into or upload to the Service — including plans, measurements, customer data, employee data, prices and documents (hereinafter: "User Content") — for their correctness, their accuracy, their being up to date, and the lawfulness of their use.

8.2. The User declares that they hold all the rights and consents required in order to enter User Content into the Service, including consents required under privacy protection laws with respect to personal information of their customers and employees.

8.3. It is prohibited to enter into the Service content that is unlawful, infringing, offensive or harmful, and to use the Service in violation of the law, including attempts at intrusion, disruption, circumvention of limitations or harm to other users.

8.4. User Content remains the property of the User. We receive a limited license to store, process and display it solely for the purpose of operating the Service for the User, as detailed in the Privacy Policy.

9. BTU — a Decision-Support Tool Only

9.1. BTU is a decision-support aid: it calculates, organizes, consolidates and documents — but it does not replace the installer's professional judgment and does not constitute engineering advice, engineering approval, binding design or a professional opinion.

9.2. Every calculation, recommendation or output of the system — including load calculations, quantities, routing and price quotes — is based on the data and the assumptions entered by the User, and requires the User's professional review and approval before being relied upon or delivered to a customer.

9.3. Professional responsibility for the design, the installation, the maintenance and compliance with every law, standard and licensing requirement applicable to air-conditioning works — including work with refrigerant gas and electrical connections — rests with the User alone.

10. Limitation of Liability

10.1. Subject to any law, BTU, its operators and anyone on its behalf shall not bear liability for indirect, consequential, special or punitive damage, for loss of profit, loss of revenue, loss of goodwill or loss of data caused to the User or to a third party in connection with the Service or with reliance on its outputs.

10.2. In any event, BTU's total and aggregate liability in connection with the Service, on any cause of action whatsoever, shall not exceed the total subscription fees actually paid by the User during the 12 months preceding the date on which the cause of action arose.

10.3. Nothing in these terms shall derogate from liability that cannot be limited or excluded under law, including from rights granted to a User who is a "consumer" under the Consumer Protection Law, 5741-1981, to the extent that it applies.

11. Intellectual Property

11.1. All intellectual property rights in the Service — including the software, the code, the design, the interfaces, the logo, the trademarks, the data structures, the calculators and the website content — belong to BTU or to its licensors, and are protected under copyright laws, trademark laws and the other intellectual property laws.

11.2. The User is granted a personal, limited, non-exclusive and non-transferable license to use the Service for their business purposes, for as long as the subscription is in effect and subject to these terms.

11.3. The Service may not be copied, duplicated, distributed, sold, leased, reverse engineered, used to derive derivative works, or made available to a third party, except with BTU's express written permission.

12. Indemnification

12.1. The User undertakes to indemnify BTU and anyone on its behalf for any reasonable damage, loss, expense or claim (including attorney's fees) caused to them as a result of the User's breach of these terms, as a result of User Content or as a result of use of the Service in violation of the law — all subject to notice being given to the User of the claim and a reasonable opportunity being given to defend against it.

13. Changes to the Terms

13.1. We may update these terms from time to time. Notice of a material change will be given in advance — by a notice within the system or by email to the address associated with the account — a reasonable time before it takes effect, and no less than 14 days.

13.2. Continued use of the Service after the change takes effect constitutes acceptance of the updated terms. A user who does not agree to the change may cancel the subscription as stated in section 6.

14. Governing Law and Jurisdiction

14.1. These terms and the use of the Service shall be governed solely by the laws of the State of Israel, without regard to their conflict-of-law rules.

14.2. Exclusive jurisdiction over any dispute concerning these terms or the Service is granted to the competent courts in the Tel Aviv-Jaffa District, Israel — all without derogating from any mandatory statutory provision that establishes different jurisdiction.

15. Miscellaneous and Contact

15.1. These terms, together with the Privacy Policy, constitute the entire agreement between the parties in connection with the Service. If any provision of these terms is determined to be invalid — the remaining provisions shall remain in force.

15.2. Failure to enforce a right under these terms does not constitute a waiver of that right.

15.3. For questions regarding the Terms of Use you may contact us by email: [email protected].
